01.Agreement to Terms
Welcome to avadhbajaj.com. These Terms of Service ("Terms") govern your use of this website and all professional services provided by Avadh Bajaj("I", "me", "freelancer"), an independent freelance website developer and AI automation expert based in Indore, India.
By accessing this website, requesting a consultation, or commissioning a freelance project, you agree to comply with and be bound by these Terms. If you are entering into this agreement on behalf of a company or legal entity, you represent that you have the authority to bind such entity.
02.Scope of Freelance Services
I provide specialized freelance development and intelligent automation consulting services, including but not limited to:
Website & SaaS Development
High-performance Next.js/React websites, landing pages, and scalable SaaS MVP applications.
AI & Workflow Automation
WhatsApp AI bots, automated lead qualification, CRM synchronization, and LLM integrations.
API Integrations & Custom Webhooks
Connecting third-party platforms (Stripe, Make, Zapier, Meta Cloud API, Supabase) into unified systems.
Consultation & Technical Support
System architecture audits, automation strategy sessions, and retainer-based maintenance.
03.Project Scope & Adjustments
Every client project operates under a written proposal or scope of work outline agreed upon via email or document before kick-off.
- Scope Boundaries: Work is strictly limited to the deliverables explicitly mentioned in the agreed proposal.
- Scope Changes: Any extra features, design overhauls, or new automation requirements requested mid-project will be quoted separately with revised delivery timelines.
04.Payment Terms & Invoicing
Unless otherwise specified in a formal written agreement:
Upfront Commitment Deposit: A deposit (typically 50% or as stated in the project proposal) is due before any development, architecture, or design work commences.
Final Balance: The remaining balance is due upon project completion, successful demo, and before final transfer of production code, DNS deployment, or master admin credentials.
Invoicing: Invoices are payable within 7 calendar days of issuance via bank transfer, UPI, or accepted international payment gateways.
05.Client Responsibilities
Timely delivery of high-quality results requires client collaboration:
- Providing necessary brand assets, copywriting, credentials, and API access in a prompt manner.
- Providing timely feedback and review during milestones (within 3 business days of submission).
- Maintaining active, billed accounts for all third-party services used (e.g., domain names, hosting, OpenAI API credits, WhatsApp Business API numbers, database plans).
06.Intellectual Property & Code Ownership
Client Ownership: Upon receipt of 100% full payment, all custom code, front-end visual designs, automation flow diagrams, and bespoke database architectures created specifically for your project become your exclusive intellectual property.
Open-Source & Reusable Frameworks: You acknowledge that software builds rely on open-source libraries (e.g. Next.js, React, Tailwind CSS) which remain licensed under their respective MIT/Apache licenses.
Portfolio Showcase: Unless an explicit non-disclosure agreement (NDA) or white-label contract is signed, I reserve the right to display non-confidential project visuals, high-level summaries, and link to the live website in my portfolio and case study archives.
07.Third-Party APIs & Service Uptime
AI automation and modern web systems integrate with external platforms (such as OpenAI, Anthropic, Meta WhatsApp Cloud API, Vercel, Supabase, Google, Stripe).
I do not control the uptime, latency, pricing changes, or API availability of external third-party platforms. I am not liable for interruptions, account suspensions, token rate limits, or unexpected policy changes caused directly by these third-party services.
08.Limitation of Liability
All services are delivered professionally and in good faith adhering to high industry standards. However, in no event shall Avadh Bajaj be held liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, data loss, or business interruption.
In all circumstances, my total aggregate liability arising out of or related to any project engagement is strictly capped at the total amount actually paid by you to me for the specific deliverable or milestone in question.
09.Governing Law & Jurisdiction
These Terms and any project contracts entered into with me shall be governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the competent courts in Indore, Madhya Pradesh, India.
